These Terms and Conditions ("Terms") constitute a binding legal agreement between you ("User", "you", or "your") and Urban Parents Club ("UPC", "we", "us", or "our"), a service operated by Elephant in the Room Infotech Private Limited, concerning your access to and use of our mobile application, website, and related services (the "Platform").Please read these Terms carefully before using our services. By accessing or using the Platform, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please refrain from using the Platform.

2. Eligibility

You must be at least 18 years old to use the Platform. If you are using the services on behalf of a minor, you confirm that you are their legal guardian and take full responsibility for their use.

3. Scope of Services

Urban Parents Club is a community platform designed to help urban parents:

Connect with each other

Discover local parenting resources and activities

Coordinate playdates and parenting meetups

Access nanny recommendations and expert-led content

We do not employ, manage, verify, or guarantee any third-party service providers listed on or connected through the Platform (including but not limited to nannies, childcare providers, event hosts, and vendors).

4. User Conduct

You agree to use the Platform in accordance with all applicable laws and to not engage in:

Harassment, abuse, or discrimination

Uploading or sharing illegal, offensive, or misleading content

Attempting to impersonate other individuals or businesses

Accessing unauthorized features or exploiting security flaws

Spamming, scamming, or phishing other users

Commercial solicitation without written permission

UPC reserves the right to suspend or permanently terminate user access at its sole discretion.

5. Content and Intellectual Property

Any content you post remains your intellectual property, but by posting it, you grant us a worldwide, irrevocable, royalty-free license to use, display, and share that content for service-related purposes.

All other content — including branding, illustrations, features, copy, and software — is the exclusive property of UPC or its licensors. You may not reproduce, reverse-engineer, or reuse it without explicit permission.

6. Third-Party Services & Integrations

The Platform may integrate or link to third-party platforms such as WhatsApp, Google Maps, Razorpay, payment gateways, social login tools, etc. By using these services:

You acknowledge that we have no control over the functionality, reliability, or data handling of these platforms.- UPC shall not be held liable for any issues arising from third-party tools or platforms.

7. Third-Party Providers and Listings

Services such as:

Nannies and babysitters

Daycare centers or play zones

Event hosts or facilitators

Experts or course providers

…are listed for discovery only. UPC does not employ, train, vet, certify, or supervise any third-party provider. Users must perform their own due diligence before engaging with any third party. All communication, negotiation, and transactions are done at your own risk.

8. Disclaimer of Warranties

You expressly understand and agree that:

To the maximum extent permitted by applicable law, UPC, its promoters, founders, directors, investors, affiliates, subsidiaries, employees, contractors, advisors, and licensors shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages, including but not limited to:

Personal injury, death, or medical emergencies- Data loss or corruption

Financial or emotional losses

Failed transactions, playdate issues, or nanny service outcomes

Defamation, abuse, or unlawful acts by other users or providers

Delays or errors due to technical failure, server downtime, or third-party issues

Your sole and exclusive remedy is to stop using the Platform.

10. Indemnification

You agree to defend, indemnify, and hold harmless UPC and its directors, employees, partners, affiliates, and licensors from and against any claims, damages, liabilities, losses, and expenses (including legal fees) arising out of:

Your use or misuse of the Platform

Violation of these Terms

Infringement of intellectual property or privacy rights

Disputes with other users or providers

11. No Guarantee of Outcome

UPC makes no representations or guarantees about:

The success of parenting strategies discussed on the Platform

The reliability or availability of service providers

Improvement in your child’s development, sleep, or behavior

All services are informational only and not a substitute for professional advice.

12. Suspension, Termination & Refund Policy

We may suspend or terminate your access to the Platform at any time for:

Violation of Terms

Misuse or abuse of services

Fraud or impersonation

In such cases, no refunds or reimbursements will be provided for any fees, credits, or subscriptions.

13. Children’s Data and Supervision

The Platform is not intended to be accessed directly by children under the age of 13. All information or content related to children must be submitted by a parent or legal guardian. We do not knowingly collect personal data from minors.

15. Force Majeure

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka, India.

17. Dispute Resolution and Arbitration

If a dispute arises, we encourage users to contact us directly to seek informal resolution. In the event that informal resolution fails, disputes shall be resolved by arbitration, in accordance with the Arbitration and Conciliation Act, 1996. The venue shall be Bengaluru. You waive your right to participate in class action lawsuits, and agree to resolve any disputes individually.

18. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent notice. Your continued use of the Platform after any updates constitutes acceptance of those changes.

19. Severability

If any part of these Terms is held invalid or unenforceable, the remainder shall remain in full force and effect.

These Terms, along with our Privacy Policy and other linked documents, constitute the entire agreement between you and UPC regarding your use of the Platform and supersede all prior agreements.
